Terms of Service

1. Provider

CYNC is a product of IT-BAER (Bruno Miglar, sole proprietor), Sankt Veiter Straße 16, 9020 Klagenfurt, Austria, hereinafter referred to as “Provider”, “we”, or “us”.

2. Scope

These Terms of Service (“Terms”) govern the use of the CYNC software, website (cync.it-baer.net), and related services including license activation. By purchasing a license or using the software, you agree to these Terms.

3. Product Description

CYNC is a Windows Service that synchronises user profiles from Microsoft Entra ID to Exchange Online contact folders via the Microsoft Graph API. It includes a WinUI 3 administration dashboard and a self-contained installer.

4. Free Tier

CYNC is free to use for up to 10 target users (Exchange mailboxes receiving synced contacts) without a license key, without time limit. The free tier includes the full feature set. No registration is required.

5. License Purchase & Payment

• Licenses are purchased as auto-renewing subscriptions via Stripe (payment processor).
• Billing options: monthly or annual. Subscriptions renew automatically and can be cancelled anytime via the Stripe customer portal.
• Cancellations take effect at the end of the current billing period. You retain full access until then — there are no partial refunds for the remaining time.
• Prices are listed in euros (€) and may be subject to applicable taxes (VAT).
• After successful payment, an RSA-signed license key is delivered to the email address provided during checkout, typically within a few minutes.
• Each license key specifies a maximum number of target users.

6. License Key & Activation

• Each license key can only be active on one machine at a time.
• Activation requires an internet connection to register the key with the activation server.
• You may deactivate a license and reactivate it on a different machine (transferable).
• Tampering with the license validation mechanism, including but not limited to modifying binaries, forging keys, or bypassing machine binding, is prohibited.

7. Refund Policy

If the software does not function as described and we are unable to resolve the issue within a reasonable timeframe (14 days), you are entitled to a full refund of the license fee for the current billing period. Refund requests must be sent to admin@it-baer.net with your order details.

8. Intellectual Property

CYNC and associated materials (source code, binaries, documentation, branding) are the intellectual property of IT-BAER. The license grants you a non-exclusive, non-transferable right to use the software on the licensed number of target users for the duration of your active subscription.

9. Disclaimer of Warranties

The software is provided “as is” without warranty of any kind, express or implied. IT-BAER does not warrant that the software will be error-free, uninterrupted, or compatible with all environments. The software depends on Microsoft Graph API availability, which is outside our control.

10. Limitation of Liability

To the maximum extent permitted by applicable law, IT-BAER shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business opportunities arising from the use of the software. Our total liability for any claim shall not exceed the amount paid by you for the license in the 12 months preceding the claim.

11. Third-Party Services

CYNC integrates with third-party services that are subject to their own terms:

• Microsoft Graph API - governed by the Microsoft Service Agreement
• Stripe (payment processing) - governed by the Stripe Services Agreement

12. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated “last updated” date. Continued use of the software after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the Republic of Austria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in Austria.
